Please read these Terms & Conditions carefully before engaging our services at DCodes.in. By initiating a project with us, you acknowledge and agree to the following terms:

1. Project Initiation and Advance Payment:

   - DCodes.in reserves the right to determine the advance payment required to start a project. The advance payment amount will be communicated to the client before project initiation.

   - In most cases, the advance payment required to start a project will be approximately 50% of the initial project amount. This amount is intended to cover initial project expenses and ensure commitment from both parties.

2. Project Scope and Requirements:

   - The client is responsible for providing accurate and detailed project requirements to DCodes.in. Any changes or additions to the project scope may result in adjustments to the project timeline, cost, or additional fees.

   - DCodes.in will make every effort to adhere to the agreed-upon project scope and deliverables. However, flexibility and understanding may be required during the development process to accommodate unforeseen circumstances or technical limitations.

3. Intellectual Property Rights:

   - Upon receipt of full payment for the project, the client will retain full ownership and intellectual property rights to the deliverables, unless otherwise specified in a separate agreement.

   - DCodes.in reserves the right to showcase the completed project in its portfolio and promotional materials, unless otherwise agreed upon with the client.

4. Timelines and Project Delivery:

   - DCodes.in will provide estimated project timelines based on the scope of work and resources allocated. However, these timelines are subject to change based on various factors, including client responsiveness, additional requirements, and unforeseen challenges.

   - DCodes.in will make reasonable efforts to deliver the project within the estimated timelines. However, we cannot be held liable for any delays beyond our reasonable control.

5. Communication and Feedback:

   - Clear and timely communication between the client and DCodes.in is crucial for successful project completion. The client agrees to provide prompt feedback, information, and necessary approvals throughout the project timeline.

   - DCodes.in will designate a primary point of contact for the client, and the client will designate a primary point of contact for DCodes.in to ensure effective communication.

6. Payment Terms:

   - In addition to the advance payment required to start the project, the client agrees to make subsequent payments as outlined in the payment schedule provided by DCodes.in.

   - All payments should be made in the agreed currency and within the specified timeframe. Late payments may result in project delays or additional charges.

7. Termination of Services:

   - Either party may terminate the project by providing written notice to the other party. In such cases, DCodes.in will be compensated for the work completed up to that point, including any additional expenses incurred.

   - DCodes.in reserves the right to terminate services if the client breaches the terms of the agreement, engages in unethical practices, or fails to make the agreed-upon payments within the specified timeframe.

8. Limitation of Liability:

   - DCodes.in shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use our services or the deliverables provided.

   - DCodes.in's liability, if any, shall be limited to the amount paid by the client for the specific project.

9. Governing Law and Jurisdiction:

   - These Terms & Conditions shall be governed by and construed in accordance with the laws of [Kerala/India]. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of [Kerala/India].
